Bullish Leads Terms And Conditions

Bullish Leads LLC (“Agency”), a Texas limited liability company, and
Client (“Client”), collectively referred to as the “Parties.”

Scope of Services

Agency agrees to provide digital marketing services, which may include:

• Lead Generation
• Search Engine Optimization (SEO)
• Local SEO
• Google Ads Management (PPC)
• Meta (Facebook & Instagram) Ads Management
• Email Marketing
• Social Media Marketing

The exact scope, deliverables, and timelines will be outlined in the Statement of Work (SOW) or proposal accepted by Client.

Fees & Payment Terms

• Client agrees to pay Agency the fees set forth in the applicable proposal or invoice.
• All payments are due monthly in advance, unless otherwise agreed.
• Payments not received within 7 days of the due date will incur a late fee of 5% of the outstanding balance.
• Agency reserves the right to pause or terminate services for non-payment.

Term & Termination

• This Agreement begins on the date signed and continues month-to-month unless otherwise specified.
• Either Party may terminate this Agreement with 30 days’ written notice.
• No refunds will be issued for services rendered or for prepaid services.

Transfer of Assets Upon Termination

• Upon cancellation of services, it is the Client’s responsibility to request access and initiate transfer of any applicable data or digital assets, including but not limited to:
  • Websites and hosting accounts
  • Domain names and DNS settings
  • Business email accounts and configurations
  • Social media pages and accounts.
  • Marketing collateral or files developed by Agency
• Failure to request transfer of these assets before termination is finalized may result in forfeiture of assets, and Agency shall not be held liable.
• Any outstanding balances must be paid in full prior to the transfer of assets.

No Guarantee of Results

Agency will make every reasonable effort to improve Client’s digital presence and generate leads. However, Agency does not guarantee specific results (such as sales, rankings, or revenue increases) as outcomes are influenced by multiple factors outside Agency’s control.

Intellectual Property

• All work created by Agency during the term of this Agreement remains Agency’s property until payment is received in full.
• Upon full payment, Client is granted a non-exclusive, royalty-free license to use deliverables for business purposes.
• Agency reserves the right to showcase non-confidential work in portfolios or marketing materials.

Confidentiality

Both Parties agree to keep all confidential business, financial, or technical information private and not disclose it to third parties without prior written consent, except as required by law.

Client Responsibilities

Client agrees to:

• Provide accurate and timely information, content, and approvals.
• Grant Agency necessary access to accounts, platforms, and analytics.
• Maintain compliance with all applicable laws, including privacy, data, and advertising regulations.

Limitation of Liability

Agency’s liability under this Agreement is limited to the total fees paid by Client in the past 30 days. Agency will not be liable for indirect, incidental, or consequential damages, including lost profits or opportunities.

Indemnification

Client agrees to indemnify and hold Agency harmless from any claims, damages, or expenses arising from Client’s use of the services, including violations of laws, advertising policies, or third-party rights.

Independent Contractor

Agency is an independent contractor. Nothing in this Agreement creates an employment, joint venture, or partnership relationship between the Parties.
