Bullish Leads LLC (“Bullish Leads”), a Texas limited liability company, and
Client (“Client”), collectively referred to as the “Parties.”

Scope of Services

Bullish Leads agrees to provide digital marketing services, which may include:

• Search Engine Optimization (SEO)

• Local SEO

• Google Ads Management (PPC)

• Meta (Facebook & Instagram) Ads Management

• Email Marketing

• Social Media Marketing

The exact scope, deliverables, and timelines will be outlined in the applicable Statement of Work (SOW), proposal, subscription or invoice accepted by Client.

Fees & Payment Terms

• Client agrees to pay Bullish Leads the fees set forth in the applicable proposal or invoice.

• All payments are due monthly in advance unless otherwise agreed in writing.

• Payments not received within 7 days of the due date may incur a late fee of 5% of the outstanding balance.

• Bullish Leads reserves the right to pause or terminate services for non-payment.

Term & Termination

• This Agreement begins on the effective date and continues on a month-to-month basis, unless otherwise specified in writing.

• Either Party may terminate this Agreement with 30 days’ written notice.

• No refunds will be issued for services rendered or for prepaid services.

Transfer of Assets Upon Termination

Upon cancellation of services, it is the Client’s responsibility to request access and initiate transfer of any applicable data or digital assets, including but not limited to:

• Websites and hosting accounts

• Domain names and DNS settings

• Business email accounts and configurations

• Social media pages and accounts

• Marketing collateral or files developed by Bullish Leads

Failure to request transfer of these assets prior to termination being finalized may result in forfeiture of such assets. Bullish Leads shall not be held liable for loss of access.

All outstanding balances must be paid in full prior to any transfer of assets.

SMS / Text Messaging Terms & Conditions

By opting in to receive SMS or text messages from Bullish Leads LLC, you agree to the following terms:

Program Description

Subscribers may receive SMS messages related to, but not limited to:

• Appointment confirmations or reminders

• Service updates

• Marketing or promotional messages

• Account notifications

• Customer support communications

Message frequency varies based on engagement and service status.

Opt-Out Instructions

You may cancel the SMS service at any time by texting “STOP” to the shortcode or phone number from which you received messages.
Upon sending “STOP,” you will receive a confirmation message, and you will no longer receive SMS communications from Bullish Leads LLC.
To re-enroll, you must opt in again through the original sign-up method.

Carrier Disclaimer

Wireless carriers are not liable for delayed or undelivered messages.

Message and data rates may apply for messages sent to you from us and from you to us.

No Guarantee of Results

Bullish Leads will make every reasonable effort to improve Client’s digital presence and generate leads. However, Bullish Leads does not guarantee specific results, including but not limited to sales, rankings, traffic, or revenue, as outcomes depend on factors outside Bullish Leads control.

Intellectual Property

• All work created by Bullish Leads remains Bullish Leads property until payment is received in full.

• Upon full payment, Client is granted a non-exclusive, royalty-free license to use deliverables for business purposes.

• Bullish Leads reserves the right to showcase non-confidential work in portfolios, case studies, or marketing materials.

Confidentiality

Both Parties agree to maintain the confidentiality of all non-public business, financial, or technical information and not disclose such information to third parties without prior written consent, except as required by law.

Client Responsibilities

Client agrees to:

• Provide accurate, timely information, content, and approvals

• Grant Bullish Leads necessary access to accounts, platforms, and analytics

• Maintain compliance with all applicable laws, including privacy, data protection, and advertising regulations

Limitation of Liability

Bullish Leads total liability under this Agreement shall not exceed the total fees paid by Client to Bullish Leads in the preceding 30 days.
In no event shall Bullish Leads be liable for indirect, incidental, consequential, or special damages, including lost profits or business opportunities.

Indemnification

Client agrees to indemnify and hold harmless Bullish Leads from any claims, damages, losses, or expenses arising from Client’s use of the services, including violations of laws, advertising policies, or third-party rights.

Independent Contractor

Bullish Leads is an independent contractor. Nothing in this Agreement shall be deemed to create an employment relationship, partnership, or joint venture between the Parties.
